Remolques y Sistemas Aliado de Transportacion, SA de CV and REMEX -
Rentas y Remolques de Mexico, SA de CV. RESALTA sells new and used trailers,
parts, and service and REMEX operates a lease/rental fleet.
Facilities are located
in Mexico City and Monterrey, Mexico. Products and services are offered
elsewhere in Mexico through sub-dealer agreements and independent sales
representatives.
CapSource, pursuant
to an agreement with Hyundai, has the exclusive right to sell Hyundai
trailers in Mexico. Hyundai operates a state-of-the-art manufacturing
facility in Tijuana, Mexico. This provides CapSource with significant
competitive advantages when selling to the Mexican market.

RESALTA sells new
and used trailers and related equipment and parts. RESALTA offers service
and financing through third parties.
RESALTA is the sole
distributor of Hyundai trailers in Mexico. RESALTA sells Hyundai trailers
and parts through its two company-owned facilities, sub-dealer agreements
and independent reps. In 2005, RESALTA was Hyundai's largest trailer
dealer (by dollar volume) as well as its largest parts distributor.

REMEX operates a
fleet of lease/rental equipment, principally dry vans, flat bed and
commodity trailers and trailer dollies.
REMEX offers its
equipment to small- to mid-size for-hire carriers. All leases are operating
leases - the lessee pays all operating costs, including insurance, tire
wear and other maintenance.
Strong economic
growth, the necessity to upgrade fleets and limited access to capital
make leasing an excellent alternative for companies. Leasing has become
